Terms of Service
1. Acceptance of terms
By downloading the Loop CheckOut app, creating an account, or using any part of the Loop CheckOut platform (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Service.
These terms are governed by the laws of Hong Kong SAR and any disputes shall be subject to the exclusive jurisdiction of the Hong Kong courts.
2. The Service
Loop CheckOut provides a digital receipt platform. Consumers use the app to receive, store, and manage digital receipts. Merchants use our merchant app and dashboard to send digital receipts to consumers at the point of sale, either by entering them directly or by forwarding them from their existing point-of-sale system by email.
The Service is also available through a web application at app.loopcheckout.com, where consumers can create an account, sign in, and view and manage their receipts in a browser. These terms apply to that web application in the same way they apply to the mobile apps.
Merchants may issue a receipt to a customer who does not have a Loop CheckOut account. In that case we generate a single-use link to a page at receipts.loopcheckout.com showing that receipt only. The link expires, may be withdrawn if the receipt is voided, and gives access to no other data or account. Opening such a link is use of the Service and is subject to these terms, whether or not you hold an account.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Consumer accounts
To receive receipts, you must create an account with a valid email address. You must be at least 13 years old to create and hold a Loop CheckOut account. By creating an account you confirm that you are 13 or older. You are responsible for:
- Keeping your login credentials secure and confidential
- All activity that occurs under your account
- Notifying us immediately at privacy@loopcheckout.com if you suspect unauthorised access
The Loop CheckOut consumer app is free of charge and will remain so for personal use.
4. Merchant accounts
Merchants must register and agree to our Merchant Agreement before using the merchant app or dashboard. Merchants are responsible for:
- The accuracy of receipt data they transmit through the Service
- Ensuring their use of the Service complies with applicable consumer protection and privacy laws
- Keeping their account login credentials confidential and notifying us immediately if they are compromised
- Paying any applicable service fees as set out in their Merchant Agreement
5. Billing, refunds and cancellation
Merchant plans are sold as a subscription. Prices are shown in Hong Kong dollars on our pricing page and are exclusive of any taxes or duties that may apply.
Billing periods. Monthly plans are charged in advance each month. Annual plans are charged in full and in advance at the discounted annual rate, and that payment covers the whole twelve-month term.
Commissions. In addition to the subscription fee, the following apply to sales made through the Service:
- Offers — available from the Growth plan upward, charged at a flat 1% of any sale in which a consumer redeems one of your offers
- Marketing campaigns — available on the Pro and Priority plans, charged only on sales attributed to a redeemed campaign offer. The rate begins at 9% and steps down to 5% as your redeemed volume grows during the year, resetting each January
- Loyalty stamps and membership points carry no redemption fee
Changing plans. You may upgrade at any time. Where you upgrade partway through a term, the unused portion of your current term is refunded and a new term is charged from the date of the upgrade. Downgrades take effect at the end of the current billing term.
Cancellation and refunds. You may cancel at any time. On a monthly plan, cancellation takes effect at the end of the current billing month. On an annual plan, your access continues until the end of the twelve-month term and the unused months are not refunded, as the annual rate is priced for the full term. Except where required by law, or where these terms expressly provide otherwise, subscription fees and commissions are non-refundable.
Failed payments. If a payment fails, we may suspend access to paid features after giving you notice and a reasonable opportunity to update your payment details.
Hardware. Where a QR code display is supplied as part of a paid subscription, it remains the property of LoopTechLabs Limited and must be returned in working order if the subscription is cancelled.
Price changes. We may change our prices or commission rates. We will give at least 30 days' notice of any increase, and changes take effect from your next renewal.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to reverse engineer, decompile, or otherwise extract source code from our apps or services
- Transmit fraudulent, misleading, or inaccurate receipt data
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorised access to any part of the Service or its related systems
- Use automated means to access the Service without our prior written consent
7. Intellectual property
All intellectual property in the Loop CheckOut platform, including software, design, trademarks, and content, is owned by or licensed to LoopTechLabs Limited. Nothing in these terms grants you any right to use our name, logo, or trademarks without our prior written consent.
You retain ownership of any data you submit to the Service. By submitting data, you grant us a limited licence to process it for the purpose of providing the Service.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Receipt data is provided by merchants; we are not responsible for errors or omissions in data submitted by third parties.
9. Limitation of liability
To the maximum extent permitted by Hong Kong law, LoopTechLabs Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total aggregate liability to you for all claims arising under or relating to these terms or the Service shall not exceed the total fees (if any) you paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these terms excludes or limits any liability that cannot be excluded or limited under Hong Kong law.
10. Termination
You may delete your account at any time through the app settings or by contacting us. We may suspend or terminate your access if you breach these terms, with notice where reasonably practicable. On termination, your right to use the Service ceases immediately, though provisions of these terms that by their nature should survive will do so.
11. Changes to these terms
We may update these terms from time to time. We will notify you of material changes via the app or email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
12. Apple App Store
The following applies if you download the Loop CheckOut app from the Apple App Store:
- These terms are between you and LoopTechLabs Limited only, not with Apple Inc. ("Apple"). Apple is not responsible for the app or its content.
- Apple has no obligation to provide any maintenance or support for the app.
- Apple is not responsible for addressing any claims you may have relating to the app, including product-liability claims, any claim that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer-protection or similar legislation. In the event of any third-party claim that the app or your use of it infringes that third party's intellectual property rights, LoopTechLabs Limited (not Apple) is solely responsible for the investigation, defence, settlement, and discharge of that claim.
- Apple and Apple's subsidiaries are third-party beneficiaries of these terms, and upon your acceptance Apple will have the right (and will be deemed to have accepted the right) to enforce these terms against you as a third-party beneficiary.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
